Welcome to Esmeres Outsourcing and Consultancy Inc. Client Portal! These Terms of Service ("Terms") govern your use of our client portal, including any associated services or features provided by Esmeres Outsourcing and Consultancy Inc. ("we," "us," or "our"). By accessing or using our client portal, you agree to be bound by these Terms. Please read them carefully.

2. Use of Client Portal a. Our client portal is intended for use by our clients for accounting and business consultancy purposes only. You agree to use the portal in accordance with all applicable laws and regulations. b. You are responsible for any content you upload or share through the client portal. You retain ownership of your content, but by uploading or sharing it, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, distribute, and display such content for the purpose of providing our services.

3. Privacy and Data Security a. We are committed to protecting your privacy and the security of your data. Please review our Privacy Policy to understand how we collect, use, and safeguard your personal information. b. You acknowledge and understand that no method of data transmission or storage can be guaranteed as 100% secure. We strive to implement reasonable security measures, but we cannot guarantee the absolute security of your data.

4. Intellectual Property a. Our client portal and its contents, including but not limited to text, graphics, logos, images, software, and any other materials, are the intellectual property of Esmeres Outsourcing and Consultancy Inc. or its licensors and are protected by copyright and other intellectual property laws. b. You agree not to reproduce, modify, distribute, sell, or exploit any portion of the client portal without our prior written consent.

5. Disclaimer of Warranties a. Our client portal is provided on an "as-is" and "as available" basis. We make no warranties or representations, express or implied, regarding the availability, reliability, accuracy, or completeness of the portal or its content. b. We disclaim all warranties, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Limitation of Liability a. In no event shall Esmeres Outsourcing and Consultancy Inc. be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of our client portal, even if we have been advised of the possibility of such damages. b. You agree to indemnify and hold us harmless from any claims, liabilities, damages, losses, or expenses (including attorneys' fees) arising out of your use of the client portal or any violation of these Terms.

7. Modifications and Termination a. We reserve the right to modify or terminate the client portal or these Terms at any time, with or without notice. b. If you disagree with any modifications, your sole recourse is to discontinue your use of the client portal. c. We may also terminate your access to the client portal if we believe you have violated these Terms or engaged in any conduct that may harm our business or reputation.

8. Governing Law and Jurisdiction a. These Terms shall be governed by and construed in accordance with the laws of the Philippines. b. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Iloilo City, Philippines.
